Your son may not technically qualify for special education, but it sounds like he really does need some help. I would ask his teacher or counselor again why he does not qualify for services. It appears to me that he really needs an intervention plan to get him back on track. Ask the counselor this question, "What are you doing as an intervention for him? How do you plan to measure his progress?" If that does not get their attention, request that he be formally evaluated. I would advise that you NOT peacefully accept that "he does not qualify as a special student." He needs you to be his advocate. The counselor should be able to explain exactly why he does not qualify. ALL children qualify for high quality education aimed at raising their skills.
